This is a deck structure that I share with a lot of entrepreneurs. Remember, goal of the deck is to get to a conversation. VC’s see >1k decks a year and fund ~1%. You need to be in the room where it happens.

I don't get uncapped notes.
Saw 2x recently someone invested 'between rounds' on uncapped note. The better the company does, the higher your cost basis.
And so ya, it's nice if the next round is super competitive but other than that I don't get why investors do it.

This might be an unpopular opinion.
Starting to see a lot more companies 'left out to dry' by accelerators. Giving up 6-10% of your company for $100k just doesn't work.
Exceptions: YC, sector-specific accelerator, you can't raise w/o them + need the credential, prob few more.
