A preview of my forthcoming article “The Original Public Meaning of Investment Contract.” in the @UCDavisLRev, Thanks to Harvard Law School Forum on Corporate Governance for the invitation!
Congress defined a security to include “investment contract” as commonly understood at the time. The term dates back to the 1800s, and was based on the ordinary meaning of “investment” and “contract.” @edleeprof shows the error of ignoring this history.
