Seeing more and more issues with operating agreements that would have been caught by a tax pro. Lawyers are great, and needed, but you also need a review by a tax pro.
If you are responsible for a partnership or multi-member S-Corp - you need to have your operating agreement reviewed by a tax pro. Ideally before it's signed.

At this point, If you have a someone recommending that you incorporate in Delaware then I would question if they are right people to advise you. It feels like they are likely defaulting to the SALY method instead of critically thinking about the situation.
