Stealing talent funds to pay for business expenses IS theft though and I'm not defending that. But the other stuff people are "uncovering" is nearly all bullshit.

This is a great way to lose $11M fast. Also, VShojo got that 11M very early in their life. So they never learned how to be frugal and it probably always felt like there was infinite cash. Until there wasn't.

Gunrun and others on the founding team all worked at Twitch just before VShojo. So they ran the company like they saw things at Twitch. But Twitch at the time was an Amazon owned multi billion dollar company. Holding parties like they do, paying staff like they do, T&E, etc.

And as for the take that because they raised $11M dollars and it's all gone now they must have personally pocked some of it. This too is misleading. I don't think anyone stole money from investors (only talents). Instead, I think the money was just spent extremely recklessly.

This isn't even for tax reasons. VShojo operated in California so they had "nexus" in California and had to pay California taxes still. Delaware just happens to have a ton of business case law on the books so businesses really like being registered there as it's predictable.

These VShojo business takes are killing me. VShojo was so fucked it many ways and made _many_ horrible decisions, but a lot of things people are trying to point out are just standard practices. Example: being registered as a Delaware C-Corp is what 99.9% of start ups do.
