On-chain markets will bring greater predictability, transparency, and efficiency for investors. DTC’s participants will now be allowed to transfer tokenized securities directly to the registered wallets of other participants, which will be tracked by DTC’s official records.

Today, the Division of Trading and Markets issued a no-action letter to the Depository Trust Company (DTC) regarding DTC’s voluntary securities tokenization pilot program. DTC’s initiative marks an important step towards on-chain capital markets.

While the Commission is working to provide more clarity in this area, I applaud bipartisan efforts in Congress to codify clear rules of the road, and I have full confidence that the CFTC will be a sound regulator of crypto asset markets.

The tokens sold in these ICOs can subsequently be resold under certain circumstances without implicating the securities laws.

However, when a project offers and sells a token to raise capital and promises to engage in essential managerial efforts, that ICO transaction could be subject to the securities laws.

As I have stated previously, most crypto assets are not themselves securities. These assets include digital commodities, digital tools, and digital collectibles.
